1. Agreement to Terms

Welcome to QuadRamp, a marketplace platform operated by Uptrend Motion LLC ("Company," "we," "us," or "our"). By accessing or using QuadRamp (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

QuadRamp is a discovery and information platform that:

• Aggregates publicly available information about Google Workspace addons from the Google Workspace Marketplace
• Provides search, filtering, and categorization features to help users discover addons
• Allows addon developers to claim and manage their addon listings
• Displays addon information including descriptions, ratings, install counts, and screenshots

Important: QuadRamp is an independent platform and is not affiliated with, endorsed by, or sponsored by Google LLC or Google Workspace™. We do not sell, distribute, or host any addons. All addons are installed through the official Google Workspace Marketplace.

3. User Accounts and Registration

3.1 Account Creation

To claim an addon or access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use QuadRamp. By creating an account, you represent that you meet these requirements.

4. Addon Claims and Verification

4.1 Claiming Your Addon

Addon developers may claim their listings on QuadRamp. When claiming an addon, you represent and warrant that:

• You are the legitimate developer or authorized representative of the addon
• All information provided in your claim request is accurate and truthful
• You have the right to manage the addon listing
• You will comply with all applicable laws and regulations

4.2 Verification Process

We employ verification measures including email verification and fraud detection. Claims may be:

• Automatically approved if no fraud indicators are detected
• Flagged for manual review based on risk assessment
• Rejected if fraudulent activity is suspected or verification fails

We reserve the right to reject any claim request at our sole discretion without providing a detailed reason.

4.3 False Claims

Submitting false or fraudulent claim requests is strictly prohibited and may result in:

• Immediate rejection of the claim
• Permanent ban from the Platform
• Legal action where applicable
• Reporting to relevant authorities

5. Acceptable Use

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Submit false, misleading, or fraudulent information
• Claim addons you do not own or have authority to represent
• Attempt to bypass our fraud detection or security measures
• Use automated tools (bots, scrapers) without our written permission
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Upload malware, viruses, or malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or harvest user information without consent

6. Content and Intellectual Property

6.1 Our Content

The Platform, including its design, features, code, and content (excluding user-submitted and third-party content), is owned by Uptrend Motion LLC and protected by copyright, trademark, and other intellectual property laws.

6.2 Addon Information

Addon information displayed on QuadRamp is sourced from the publicly available Google Workspace Marketplace. We make reasonable efforts to keep this information accurate and up-to-date, but we do not guarantee its accuracy, completeness, or timeliness.

6.3 User-Submitted Content

When you submit content to QuadRamp (such as claim information, custom descriptions, or screenshots), you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content for the purpose of operating and promoting the Platform.

You represent that you have all necessary rights to submit the content and that it does not infringe on any third-party rights.

6.4 Trademarks

Google™, Google Workspace™, Google Sheets™, Google Docs™, Google Slides™, Google Forms™, and related marks are trademarks of Google LLC. QuadRamp is not affiliated with or endorsed by Google LLC.

7. Third-Party Links and Services

QuadRamp contains links to the Google Workspace Marketplace and third-party addon websites. These links are provided for your convenience, but we do not endorse, control, or assume responsibility for third-party content, products, or services.

Your interactions with third parties, including addon installations and purchases, are solely between you and the third party. We are not responsible for any issues arising from such interactions.

8. Disclaimers and Limitations of Liability

8.1 "As Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Warranty for Addon Information

We do not warrant that:

• Addon information is accurate, complete, current, or reliable
• The Platform will be uninterrupted, secure, or error-free
• Any defects will be corrected
• The Platform is free of viruses or harmful components

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTREND MOTION LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM:

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers
• Any bugs, viruses, or malicious code transmitted through the Platform
• Any errors or omissions in content
• Any conduct of third parties
• Any issues with third-party addons accessed through the Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Uptrend Motion LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit to the Platform
• Any fraudulent or illegal activity

10. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, for any reason, including:

• Violation of these Terms
• Fraudulent activity or suspicious behavior
• Providing false information
• Extended inactivity
• At our discretion without notice

Upon termination, your right to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall remain in effect.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Uptrend Motion LLC is registered, without regard to conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class action lawsuits or class-wide arbitration.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Uptrend Motion LLC regarding the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
